Job Description

GENERAL PURPOSE OF THE JOB:


The Legal Manager (Contracts Management) will directly report to the Vice President of Legal. He/she will assist in preparing and reviewing most of the Company’s documents and contracts, researching various laws, rules and regulations, latest jurisprudence or memorandum orders, in order to help formulate sound legal advice for Management and the Board of Directors. He/she may represent and deal with government agencies or regulatory bodies for the application of permits and licenses. He/she will also do other tasks as may be assigned by the VP-Legal.



DUTIES AND RESPONSIBILITIES

  • Drafts and reviews letters, contracts, agreements, approval papers, and all other documents as may be required by the different departments of PHC;
  • Gives accurate and timely legal advice to Management and the different departments of PHC on various concerns whether document interpretation, boundary disputes, leasing and marketing concerns, labor, permits and licenses, among others;
  • Negotiates and manages client vendor contracts or sale documents;
  • Communicates and deals with external parties (regulators, external counsel, local government, etc.) creating relations of trust;
  • Assists in the due diligence requirements in relation to listing in the Philippine Stock Exchange and the seamless transition from a private corporation to a public corporation;
  • Coordinates with retainer counsel and PHC’s Office of the Corporate Secretary in relation to minutes of meetings, board resolutions, Secretary’s Certificates, compliance monitoring and filings with the Securities and Exchange Commission;
  • Collates requirements for permits and other applications with different government agencies apart from the SEC and PSE, i.e.. City Government of Makati and Pasay, Bureau of Internal Revenue, Registry of Deeds, Philippine Economic Zone Authority, Board of Investments, and other special government agencies tasked to govern the real estate sector;
  • Represents PHC in any hearings before government administrative agencies or courts in the Philippines, as the case may be, but may be assisted by external counsel;
  • Conducts due diligence in acquiring new properties of PHC;
  • Ensures that proper transfer of acquired assets have been made to PHC, as well as to buyers once a project is developed;
  • Ensures proper filing and monitoring of documents coming in and out of the Legal Department;
  • Prepares presentations before Management and the Board of Directors;
  • Prepares check or cash advance requests, and other documents internally as may be provided by internal processes; and
  • Performs other tasks as may be assigned by the VP-Legal



JOB PROFILE


Educational Background

  • Must be a member of the Philippine bar.
  • Has completed a Bachelor’s degree in Law, and a Bar-passer



Professional Background

  • Minimum of ten (10) years of experience as a Legal Manager in the property management or real estate industry;
  • Must have experience in a publicly listed company for at least two (2) years;
  • Must be a lawyer for at least five (5) years and a member in good standing of the Philippine Bar



Knowledge Requirements

  • Must have an excellent knowledge of Corporate and Property Law and Civil and Administrative procedures;
  • Must have a comprehensive knowledge of litigation and alternative dispute resolution (ADR); and
  • Must be knowledgeable in operating MS Office Software such as MS Word, MS PowerPoint, and MS Excel



Skills Requirements

  • Must have good oral and written communication skills (legal writing);
  • Must have good analytical and problem-solving skills; and
  • Must possess a high degree of professional ethics and integrity

  • Must have the ability to work under pressure;
  • Must have the ability to take a proactive approach to accomplish deliverables;
  • Must have the ability to work well with a team;
  • Must have the ability to manage deliverables and accomplish tasks in a timely manner; and
  • Must have the ability to work with minimum supervision.
